Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of Nanny's websites, applications, and related services (the "Services").
By creating an account, clicking to accept, or using the Services, you agree to these Terms and our Privacy Policy.
If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.
The Services
Nanny provides tools intended to help parents and guardians obtain structured alerts and summaries relating to communications sources they lawfully connect or configure.
Features may change over time. We may add, modify, suspend, or discontinue functionality (including free vs paid tiers) with reasonable notice where appropriate.
Eligibility and lawful use
You must be at least 18 years old (or the age of majority where you live) with legal capacity in your jurisdiction, and must use the Services only in compliance with applicable laws.
You represent that you connect or monitor only accounts, devices, or communications that you are legally authorized to monitor (for example as a parent or guardian, or with equivalent lawful authority). Unauthorized interception or surveillance may be illegal.
You are solely responsible for determining whether your intended use is lawful where you and the monitored individuals are located.
You represent and warrant that, for each child and account you connect: (a) you are the parent or legal guardian of, or otherwise hold lawful authority over, the monitored child; (b) you have obtained and will maintain every consent, and have provided every notice, required by law for the monitoring — including any consent or notice required in respect of the child and of other participants in the monitored communications; (c) you have informed the child that Nanny is active, as described in these Terms; and (d) the monitoring is lawful in every jurisdiction where you and the monitored individuals are located. These representations are a continuing condition of your use of the Services.
Transparency and responsibilities toward the monitored child
Nanny is intended for transparent, consent-based child safety. You agree to use it only to protect minors over whom you have lawful parental or guardian authority, and to inform the child that Nanny is active in a manner appropriate to their age and maturity.
You must not use the Services to secretly monitor any adult — including a partner, spouse, family member, or employee — without their knowledge and consent. Covert or non-consensual surveillance, and any use that amounts to stalking, harassment, coercion, or control, is strictly prohibited and may be unlawful.
You are solely responsible for how you use the alerts and information the Services provide, including any decisions or conversations that follow.
Your responsibilities for monitored data
You decide which children and accounts to connect, what is monitored, and how you use the results. With respect to the personal data of the monitored child and of any other participant in the monitored communications, you are the party responsible for that data (for example, the “controller” under applicable data-protection law), and Nanny processes that content on your behalf and on your instructions solely to provide the Services.
You are responsible for having a valid lawful basis for the monitoring, for providing any required privacy notices, and for honoring the rights of the individuals whose data is processed. You will not use the Services in any way that infringes those individuals' rights. How we handle personal data as part of operating the Services is described in our Privacy Policy.
Accounts and security
You must provide accurate registration information and keep credentials confidential.
You are responsible for activity under your account. Notify us promptly at admin@nanny.live if you suspect unauthorized access.
Fees, trials, and subscriptions
Certain features require a paid subscription. Before you are charged, we present the price, applicable taxes, the billing interval, and the fact that the subscription renews automatically. By subscribing, you authorize these recurring charges.
Unless cancelled, subscriptions renew automatically at the then-current price for successive billing periods. You can cancel at any time from the subscription section of your account settings (Settings → Subscription); cancellation stops future renewals and takes effect at the end of the current paid period.
If we offer a free trial, we will tell you when it ends and that it converts into a paid subscription unless you cancel before it ends. Where required by law, we provide renewal reminders and an easy cancellation method.
Except where required by law or expressly stated at purchase, fees are non-refundable. If you believe a charge is incorrect, contact us at admin@nanny.live within a reasonable time. Cancellations, trials, and refunds are described in more detail in our Refund & Cancellation Policy, available on our website.
Acceptable use
You agree not to:
- Use the Services for harassment, stalking, discrimination, or any unlawful purpose.
- Use the Services to covertly monitor an adult, or to monitor anyone without lawful authority and, where required, their consent.
- Use the Services as stalkerware or to enable abuse, coercion, or control of another person, or to share another person's communications in a way that harms them or violates their rights.
- Attempt to access accounts or data without authorization, or bypass security or usage limits.
- Reverse engineer, scrape, or exploit the Services except to the extent permitted by mandatory law.
- Upload malware, overload systems, or interfere with other users.
- Misrepresent identity or affiliation, or use the Services to violate third-party terms (including messaging platform rules).
Third-party services
The Services may integrate with third-party platforms (including WhatsApp provided by Meta). Your use of third-party services is subject to their terms and privacy policies.
Connecting a third-party platform such as WhatsApp to a monitoring tool may be inconsistent with that platform's own terms, and the platform may restrict, suspend, or ban the connected account, or limit or change access, at any time and without notice to us. We do not control this. You acknowledge and accept this risk and are responsible for ensuring your use is permitted under the platform's terms.
We do not control third-party services and are not responsible for their availability, accuracy, or conduct.
Insights, alerts, and professional advice
Alerts and summaries are generated by automated analysis (including AI classification) and are informational only. They are probabilistic and may be wrong: they can miss genuine harm and can incorrectly flag harmless messages or mischaracterize a person.
Classifications are not factual determinations or accusations about any individual, and you agree not to treat or present them as such. You are solely responsible for how you act on alerts, including any decisions or conversations that follow.
The Services are not an emergency, crisis, or child-protection service and are not monitored in real time. If a child is in immediate danger, contact local emergency services or a relevant crisis or child-safety hotline.
Nothing in the Services constitutes medical, legal, therapeutic, or safety advice. Seek qualified professionals when appropriate.
Safety and law enforcement
Where content processed through the Services indicates that a child may be in danger, or where we are otherwise legally required or permitted, we may preserve and disclose relevant information to law enforcement or to appropriate child-safety authorities or organizations, and cooperate with their lawful requests.
Nothing in these Terms obligates us to monitor for, detect, review, or report any particular content, and we are not liable for failing to detect or act on any content.
Intellectual property
Nanny and its licensors retain all rights in the Services, branding, and related materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial parental monitoring purposes.
You retain rights in content you submit. You grant us a license to host, process, and display such content as needed to provide the Services.
Suspension and termination
We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if we must do so to comply with law.
You may stop using the Services at any time. Provisions that by their nature should survive (including disclaimers, limitations, indemnities, and governing law) will survive termination.
Assumption of risk and release
You use the Services at your own risk and accept full responsibility for your decision to monitor and for how you use what the Services surface. To the fullest extent permitted by law, you assume all risks arising from your use, including: restriction, suspension, or termination of a connected account by a third-party platform; claims by the monitored child or by any third party whose communications were accessed; reliance on, or the absence of, any alert; and the accuracy or completeness of any classification.
To the fullest extent permitted by law, you release Nanny and its affiliates from any claims, known or unknown, arising out of your monitoring decisions and your use of the alerts and information the Services provide.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant uninterrupted or error-free operation or that alerts will detect every harmful situation.
Limitation of liability
To the maximum extent permitted by law, Nanny and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses.
To the maximum extent permitted by law, our aggregate liability arising out of these Terms or the Services will not exceed the greater of (a) the amounts you paid to us for the Services in the twelve (12) months before the claim or (b) fifty US dollars (USD 50).
These limitations apply regardless of the legal theory on which a claim is based, apply even if a limited remedy fails of its essential purpose, and are an essential basis of the bargain between you and us.
Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted.
Indemnity
You will defend, indemnify, and hold harmless Nanny and its affiliates, directors, officers, employees, and contractors from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your use of the Services;
- your violation of these Terms or of any applicable law;
- your monitoring activity, including any claim brought by the monitored child or by any other person whose communications were accessed, stored, or analyzed through your use of the Services;
- any claim by a third-party platform (such as Meta or WhatsApp) relating to your connection to, access to, or use of an account; and
- your infringement or violation of the rights of any third party.
Governing law and disputes
These Terms are governed by the laws of the State of Israel, excluding conflict-of-law principles.
Courts located in Tel Aviv-Yafo, Israel will have exclusive jurisdiction, subject to mandatory provisions of consumer protection law in your jurisdiction where applicable.
Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms and revise the effective date, and where changes are material we will provide additional notice where required by law. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
Miscellaneous
These Terms constitute the entire agreement between you and Nanny regarding the Services and supersede prior understandings on this subject.
If a provision is invalid or unenforceable, the remaining provisions remain in effect.
Failure to enforce a provision is not a waiver.
These Terms do not create any third-party beneficiary rights.
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages or changes of third-party platforms or providers, network or infrastructure failures, or other events of force majeure.
